About the job:

The CSIR has a vacancy for Manager: Compliance in the Legal and Enterprise Risk portfolio. The Incumbent will provide strategic input into the CSIR Compliance strategy and operational plan, as well as drive the Compliance strategy of the CSIR, to ensure that the CSIR conducts its business in full compliance with the applicable regulatory framework and ethical standards. The incumbent will also direct, oversee and manage the CSIR Compliance department strategy and implementation, working closely with other areas of the CSIR including Legal (Specialist) Service, Research Managers, Enterprise Risk Managers, SHEQ Managers, Internal Audit Services, Finance, HC and HCD Management and Business Excellence and Integration. The incumbent will assume overall accountability for the monitoring and evaluation of all legal Key Performance Indicators (KPIs). This position is based in Pretoria.

Key responsibilities:

Compliance Strategy: Strategic input and expert legal advisor into CSlR Strategic and Operational legal plans, in partnership with relevant Stakeholders:

In conjunction with the Group Manager: Legal and Compliance, develop and implement the CSIR Compliance strategic and operational plans;
Provide expert compliance advice as part of Legal and Compliance management team in the review, development and implementation of the compliance policy and strategy;
Provide and coordinate strategic leadership within team;
Provide regular reporting to the Group Manager Legal and Compliance.
Governance, Compliance and financial management: Compliance framework and relevant legislation and implementation of effective financial controls within Compliance Services:

Enforce compliance policies, procedures, standards, norms and best practices in line with the organisation’s strategy and in line with the prevailing regulatory framework;
In liaison with Manager: Legal Services, remain abreast of changes in legislation and ensure that the CSIR remains compliant and that governance frameworks are up to date;
In liaison with Manager: Legal Services, monitor and advise on the interpretation and implementation of new / draft legislation for the CSIR’s compliance, in liaison with the Manager: Compliance;
Collaborate with training and development committees and others to ensure appropriate training of relevant staff with respect to legal awareness;
Develop and manage Compliance budget ensuring cost effective service delivery and in compliance with legislative requirements.
Compliance services:

Provide expert Compliance opinions to Group Executives; divisions and compliance committees;
Provide information and recommendations for enhancement of Compliance matters;
Develop and drive strategies to ensure compliance with laws, rules, agreements, practices and ethical standards applicable to the CSIR businesses;
Design standard operating procedures for compliance processes/procedures, analyse and validate existing protocols and/or recommend and implement necessary improvements;
Work with managers to ensure implementation of protocols by their respective teams;
Advise organisation and portfolios on compliance matters, new compliance laws, obligations, and business transactions;
Provide a neutral and objective space for people to voice potential unethical behaviour, processes and practices;
Provide dedicated subject matter expertise to the entire organisation especially related to:
o Business ethics, in liaison with the Business Ethics and Compliance

Specialist,

o Privacy, in liaison with the Privacy Specialist,

o Company Secretarial and Governance,

o Trade compliance, in liaison with the Trade Compliance Officer,

o BBBEE regulations, in liaison with the BEE Specialist.

In liaison with the Manager: Legal Services, ensure communication of regulatory updates to all parts of the Business detailing impact to their businesses;
In liaison with the Trade Compliance Officer, coordinate with the appropriate Government authorities on regulatory and compliance issues to acquire attestation for required official documents;
Oversee preparation of periodic compliance status reports to management and ensure responses to information requests from internal and external auditors;
Work closely with Enterprise Risk and Internal Audit to determine compliance risk and mitigation strategies as part of a combined assurance model.
Company secretary and Governance:

Ensure administrative support, including integrated board reports, to the CSIR Board and its sub-committees and fulfil the statutory responsibilities as enshrined in the Companies Act and the King IV report;
Ensure board members are appropriately appraised of governance trends and developments to assist them in adopting effective policies and making informed and contextual decisions to ensure CSIR operates within the confines of its best business practices;
Develop and propose innovative corporate governance policies and best practices by recommending policies and procedures to the organisation’s Policy Review and Development Committee, the board and committees for approval and implementation while balancing governance needs and the CSIR’s goals;
Provide expertise, advice and recommendations related to a broad range of corporate governance and board issues by identifying concerns and developmental needs;
Provide strategic advice to the Board, committees, and CE, in line with the King IV report;
Monitor and evaluate the implementation of governance policies and directives and recommend proposals to address deficiencies in order to achieve organisation’s overall strategic objectives;
Oversee and direct governance processes, including:
o Supporting the Board where required;

o Orientation of new directors and on-going board education;

o Developing and implementing compliant guidelines, criteria and instruments to evaluate and enhance individual member and board performance.

SHE: Safety, Health & Environment:

Ensure compliance to all SHE requirements in area of responsibility and appropriately address incidents that occur to reduce risk.
Culture, Leadership & People Management:

Manage and develop the CSIR Compliance team to ensure high calibre Compliance personnel;
Conduct performance management contracting and reviews for all staff at the recommended periods, for the purpose of managing and improving both individual performance and service delivery;
Provide leadership to the department and entrench organisational EPIC values, build good SHEQ practices, uphold ethical standards and behaviours;
Create a culture of customer service and continuous improvement;
Identify gaps for training or development of staff to assist with skills retention and succession planning.
Qualifications, skills and experience:

B Proc or BCom Law or LLB with at least eight to ten years’ relevant experience as a senior legal advisor with a track record in the following:
Applying knowledge of compliance, corporate governance and risk management discipline, standards and best practice in the workplace,
Public sector compliance,
Operational planning and implementation,
Communication and engagement with senior executives,
Legislation applicable to Public Entities,
Company secretariat functions.
Understanding of public sector compliance requirements and relevant legislation;
Knowledge of compliance, corporate governance and risk management discipline, standards and best practice;
Ability to maintain strict confidentiality in performing duties;
Budgeting and financial skills;
Good office administration and record keeping skills;
Ability to work accurately and pay attention to detail;
Thorough knowledge of Public Finance Management Act (PFMA), Black Economic Empowerment Act, and other relevant regulations;
Ability to develop strong working relationships with other departments;
Computer literacy, administrative and analytical skills.
